WRITTEN NOTICE IN TERMS OF SECTION 45(5)(a) OF THE COMPANIES ACT 71 of 2008, TO
ALL SHAREHOLDERS OF BARLOWORLD LIMITED
Notice is hereby given in terms of section 45(5)(a) of the Companies Act 71 of
2008 ("the Companies Act"), that the board of Barloworld has adopted a
resolution to provide financial assistance to a related or inter-related company
of Barloworld contemplated in section 45(2) of the Companies Act.
The resolution adopted by the board relates to loans which have in the past been
made and will continue to be made from time to time to Barloworld South Africa
(Proprietary) Limited, the total value of which, together with any previous
resolution to provide financial assistance, exceeds one-tenth of 1% of
Barloworld`s net worth.
