FURTHER UPDATE ON THE ACQUISITION BY GOLIATH GOLD OF GOLD ONE`S MEGAMINE ASSETS
Further to the joint announcement released by Gold One and Goliath Gold on
Wednesday, 28 September 2011, and the circular to shareholders dated Friday, 25
February 2011 ("circular"), and using the terms defined in the previous joint
announcement and circular unless otherwise stated, Shareholders are advised that
the DMR has consented to the transfer of the mining and prospecting licences in
terms of section 11 of the MPRD Act. The remaining conditions precedent to the
Acquisition are administrative in nature and are expected to be fulfilled
shortly. Therefore, the Parties have agreed to further extend the deadline in
relation to the fulfillment of these remaining conditions precedent from 31
January 2012 to 29 February 2012 (the "extension").
Shareholders will be advised of the revised salient dates and times relating to
the Acquisition in due course, pending the fulfillment or waiver, as the case
may be, of the remaining conditions precedent to the Acquisition.
