ISSUE OF LINKED UNITS
Linked unitholders are advised that the company has raised a total of R78.22
million through the issue of 15,962,517 new linked units ("vendor consideration
units") at R4.90 per linked unit, pursuant to a vendor consideration placing.
R62.48 million of the total proceeds was utilised by RIN to subscribe for
12,750,000 new shares in Redefine International P.L.C. ("RI PLC"), its London
Stock Exchange-listed subsidiary. As announced on SENS on 1 February 2012, RI
PLC will apply the proceeds of the subscription by RIN to fund its underwriting
commitment in connection with the Cromwell capital raising.
The balance of the proceeds will be used by RIN to acquire RI PLC shares on
market on the London Stock Exchange.
The vendor consideration units were issued and commenced trading on the JSE with
effect from today, 8 February 2012 and will rank pari passu with existing RIN
linked units in issue.
Following the issue and listing of the vendor consideration units, RIN`s linked
capital will consist of 405,507,157 linked units with voting rights.
