DIRECTORS DEALING
Shareholders are referred to the SENS announcement dated 13 February 2012,
which detailed the change in control as a result of the exercise by EM
Greenblatt of put options granted by Trinity Asset Management Proprietary
Limited ("TAM") to sell the ordinary shares recorded below in terms of
option agreements signed on or about 20 June 2010, and the mandatory offer
by TAM to the minority shareholders of Capricorn occasioned by the exercise
of these options.
Shareholders are advised that EM Greenblatt is a director of the Company.
Accordingly, in compliance with rule 3.63 - 3.74 of the JSE Listings
Requirements, her dealings are required to be disclosed, and are disclosed
as follows:

SECTION 122 NOTIFICATION
As a result of the exercise of the put options referred to above, TAM`s
shareholding in Capricorn will increase from 34.99% to 69.97% and
accordingly TAM is required to notify the Company, and has notified the
Company, using a TRP 121.1 form of this further acquisition. The Company has
filed the notification, using a TRP 121.2 form, with the TRP as required by
Section 122 of the Companies Act, No. 71 of 2008 ("the Act").
In addition, EM Greenblatt has also, by virtue of the disposal referred to
above, reduced her shareholding in Capricorn from 34.98% to 0%. EM
Greenblatt has notified the Company using a TRP 121.1 form of her disposal.
The Company has filed the notification using a TRP 121.2 form with the TRP
as required in terms of the Act.
