RESULTS OF THE ANNUAL GENERAL MEETING
SPAR shareholders ("Shareholders") are advised that at the annual general
meeting of Shareholders ("Meeting") held on Tuesday, 14 February 2012, with the
exception of Ordinary Resolution No. 2 regarding the adoption of The SPAR Group
Limited Forfeitable Share Plan, which was not approved by the requisite majority
of Shareholders, all the resolutions tabled at the Meeting were approved by the
requisite majority of Shareholders present or represented by proxy.
