FINALISATION INFORMATION RELATING TO THE CONVERSION AND CONSOLIDATION OF THE
SHARE CAPITAL
INTRODUCTION
Shareholders are referred to the announcements, dated 10 January 2011, 8
February 2012 and 18 February 2012, and are advised that the relevant special
resolutions relating to the conversion and consolidation of the company`s
share capital ("the corporate actions") have been registered by the Companies
and Intellectual Property Commission.
The rights of shareholders after the corporate actions will rank pari passu
in every respect with the rights of shareholders prior to the corporate
actions.
ALTERATIONS TO THE SHARE CAPITAL
Alterations to the company`s share capital are as follows:
Conversion:
- the authorised ordinary share capital of R1 000 000 divided into 10
billion ordinary par value shares of R0.0001 each was converted into 10
billion ordinary shares of no par value; and
- the issued share capital of R527 073 divided into 5 270 732 462 ordinary
par value shares of R0.0001 each was converted into 5 270 732 462
ordinary shares of no par value.
Consolidation:
- the authorised ordinary share capital, comprising 10 billion ordinary
shares of no par value was consolidated on a 50:1 basis into 200 million
ordinary shares of no par value; and
- the issued ordinary share capital, comprising 5 270 732 462 ordinary
shares of no par value was consolidated on a 50:1 basis into 105 414 701
(taking into account fractions rounded up or down) ordinary shares of no
par value.
