BOARD RESOLUTION ON FINANCIAL ASSISTANCE
Shareholders are advised that in terms of section 45(5) of the Companies Act
71 of 2008 ("the Act") the board of directors of StratCorp Limited has
resolved to authorise the Company to provide financial assistance to related
and inter-related companies within the StratCorp Group. The relevant section
of the resolution, which was passed on 14 February 2012, read as follows:
The Company hereby provides unlimited cession of its loan account for the
obligations of I-Cura (Pty) Limited in favour of Absa Bank Limited, as
indicated in terms of section 45 of the Companies Act; and
the Company will provide any financial assistance to all related and inter-
related companies within the StratCorp Group of companies at such times and
on such terms and conditions as the directors in their sole discretion deem
fit, the particulars of which will be reported in the Company`s Interim and
Annual Financial Statements which are published from time to time.
