CHANGES TO THE BOARD OF DIRECTORS
Mr Sydney Mhlarhi:
The board of directors of Pretoria Portland Cement Company Limited ("PPC") is
pleased to announce the appointment of Mr Sydney Mhlarhi to the board of
directors with effect from 1 March 2012.
Mr Mhlarhi has been appointed as a non-executive director of PPC as a
representative of the PPC consortium of strategic black partners and as a member
the deal committee and the remuneration committee of the board.
Mr Mhlarhi is a founder and director of Tamela Holdings (Pty) Ltd and has over
14 years` experience in investment banking. He is a chartered accountant and
completed his accounting articles at Ernst & Young in 1997. Mr Mhlarhi is a
member of the South African Institute of Chartered Accountants` Education &
Examinations committee and a director of PPC`s strategic black partners
consortium and FLSmidth Roymec (Proprietary) Limited. He was a member of the
Securities Regulation Panel (2004 - 2006).
The board believes that Mr Mhlarhi`s experience and qualifications will add
significantly to the board`s deliberations.
Mr Jerry Vilakazi:
Mr Jerry Vilakazi, whose three year term as a representative of the PPC
consortium of strategic black partners ended on 1 March 2012, has retired from
the board. The board would like to thank Mr Vilakazi for his valuable
contribution to the company during the past three years.
Ms Bridgette Modise:
Ms Bridgette Modise who was appointed to the board and to the audit committee
in December 2010 has been appointed to the Risk and Compliance committee from
1 March 2012.
