105 624 restricted shares were granted to GW Dempster (then head of Nedbank
Corporate) on 3 March 2009. The vesting of 50% of the grant was linked to
the group`s achievement of predetermined performance-based vesting criteria,
which have not been met, and those restricted shares were forfeited on 4
March 2012. The remaining 50% were subject to time-based vesting criteria
and these restricted shares, which vested on 4 March 2012, have been sold as
set out above.
The required prior written clearance for the dealing in shares has been
obtained.
