APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

Veli Mcobothi has been appointed as an independent non-executive director to
the board of Litha Healthcare Group Limited with effect from 20 March 2012.
He will also be appointed as chairman of the Audit Committee.
Veli is a Chartered Accountant (SA) and has 13 years investment banking
experience. He was a senior member of the Investec Private Equity team,
where he was responsible for origination, execution and board representation
in various investee companies. He is an executive director of Cinga Holdings
(Pty) Ltd, non-executive director of Value Group Limited and sits on the
Value Group Limited Audit Committee.
