JOINT ANNOUNCEMENT BY STEINHOFF AND JD GROUP IN RESPECT OF THE IMPORTANT DATES
AND TIMES OF THE PARTIAL OFFER ("the Partial Offer")
JD Group and Steinhoff shareholders are referred to the important dates and
times in respect of the Partial Offer as set out in the circular to JD Group
shareholders dated 11 February 2012. JD shareholders are further referred to
the announcement dated 12 March 2012 in which it was confirmed that JD Group
shareholders approved the resolutions required to implement the Partial Offer.
JD shareholders are advised that the conditions precedent pertaining to the
approval of the competition authorities in South Africa of both the Partial
Offer and the KAP transaction (as defined in the circular) have not yet been
fulfilled. Accordingly, shareholders will be informed as soon as the
aforementioned conditions have been fulfilled, following which the revised
important dates and times in respect of the Partial Offer will be duly
communicated to shareholders.
