POSTING OF ANNUAL REPORT AND NO CHANGE STATEMENT
Shareholders are advised that the annual report which contains the annual
financial statements of Merafe Resources for the year ended 31 December 2011
("the annual financial statements") will be dispatched to shareholders today.
The annual financial statements contain no modifications to the audited
abridged results which were published on 6 March 2012. The annual report will
be available online at www.meraferesources.co.za on 30 March 2012. The
company`s auditors, KPMG Inc, have audited the annual financial statements
and their unqualified report is available for inspection at the company`s
registered office.
The annual general meeting of Merafe Resources shareholders will be held at
Fairlawns Hotel, 1 Alma Road (off Bowling Avenue), Morningside Manor, Ext 6
Sandton at 11:00 on Friday, 4 May 2012, for the purpose of transacting the
business as outlined in the notice of annual general meeting forming part of
the annual report. The board of directors has determined, in accordance with
Section 59 of the Companies Act No. 71 of 2008 that the record date for
shareholders to be recorded as such in the securities register of Merafe
Resources in order to be able to attend, participate and vote at the annual
general meeting is Thursday, 26 April 2012. The last date to trade to be able
to attend, participate and vote at the annual general meeting is Thursday, 19
April 2012.
