ISSUE OF AUDITED ANNUAL FINANCIAL STATEMENTS
Further to the published Nedbank Group and Nedbank Limited audited financial
results for the year ended 31 December 2011, shareholders are advised that the
Nedbank Group integrated report and the Nedbank Limited annual report, which
contain the annual financial statements, have been dispatched to shareholders on
30 March 2012. The annual financial statements are also available on the
group`s website at www.nedbankgroup.co.za on both the front web page and under
the financial information tab.
NO CHANGE STATEMENT
The Nedbank Group and Nedbank Limited annual financial statements contain no
changes to the audited financial results which were published on 29 February
2012. The annual financial statements were audited by Nedbank Group and Nedbank
Limited`s auditors, KPMG Inc and Deloitte & Touche. Their unqualified report is
available for inspection at the group`s registered office.
CONFIRMATION OF NEDBANK GROUP ANNUAL GENERAL MEETING
Shareholders are advised that Nedbank Group`s annual general meeting will be
held on Friday, 4 May 2012, in the auditorium, Retail Place West, Nedbank
Sandton, 135 Rivonia Road, Sandown at 09:00. The notice of the annual general
meeting is contained in the Nedbank Group integrated report.
The record date on which shareholders of Nedbank Group must be registered in
order to be able to vote at the annual general meeting is Thursday, 26 April
2012.
CONFIRMATION OF NEDBANK LIMITED ANNUAL GENERAL MEETING
Nedbank Limited`s annual general meeting will be held on Thursday, 3 May 2012,
in the Executive Boardroom, Ground Floor, Block A, Nedbank Sandton, 135 Rivonia
Road, Sandown, Sandton at 16:30. The notice of the annual general meeting is
contained in the Nedbank annual report.
The record date on which shareholders of Nedbank Limited must be registered in
order to be able to vote at the annual general meeting is Wednesday, 25 April
2012.
In terms of article 44.8 of the memorandum of incorporation of Nedbank Limited,
the holders of the perpetual preference shares will not be entitled to be
present or to vote, either in person or by proxy, at any meeting of the company
by virtue of or in respect of the perpetual preference shares, unless either or
both of the following circumstances prevail at the date of the meeting:
* the preference dividend or any part thereof remains in arrears and unpaid
after 6 (six) months from the due date thereof; and
* a resolution of Nedbank Limited is proposed (in which event the perpetual
preference shareholders will be entitled to vote only on such resolution)
that directly affects the rights attached to the perpetual preference
shares or the interests of the holders thereof, including a resolution for
the winding up of Nedbank Limited or for the reduction of its capital.
In terms of articles 45.9 and 46.9, the holders of the class A and class B
redeemable cumulative preference shares (`redeemable preference
shares`)respectively are entitled to receive notice and attend the annual
general meeting, but will not be entitled to speak or vote thereat, unless the
circumstances as recorded in these articles prevail at the date of the meeting.
BASEL II PILLAR 3 DISCLOSURE AT 31 DECEMBER 2011
Nedbank Group and Nedbank Limited have released their Pillar 3 (of Basel II)
Public Disclosure Report, required by regulation 43 of the South African banking
