2. On 28 March 2012, the Company granted an award of British American Tobacco
p.l.c. 25p ordinary shares to the Executive Directors of British American
Tobacco and other persons discharging managerial responsibilities (the
"Participants") listed below under the Deferred Share Bonus Scheme at an
award price of 3208 pence per Share. Awards under the Deferred Share Bonus
Scheme are conditional awards of shares which are held in trust for three
years and no further performance conditions apply in that period.

3. Further, on 28 March 2012, the Company granted awards of British American
Tobacco p.l.c. 25p ordinary shares (the "Shares") to Executive Directors of
British American Tobacco and other persons discharging managerial
responsibilities listed below (the "Participants") under the British
American Tobacco 2007 Long Term Incentive Plan at an award price of 3208
pence per Share. The awards are exercisable from 28 March 2015 to 27 March
2022, subject to the satisfaction of performance conditions specified on
the award date. The maximum number of shares comprised in the awards
granted to the Participants which could vest if the performance conditions
are met in full is shown opposite the name of each Participant set out
below:
