Pursuant to DTR 6.1.11, Anglo American Capital plc and Anglo American plc
announce that the US$ notes issued by Anglo American Capital plc guaranteed by
Anglo American plc listed below were issued on 2 April 2012 and have been
admitted to listing on the Official List of the U.K. Listing Authority and to
trading on the London Stock Exchange, a regulated market:
US$600,000,000 2.625% Senior Notes Due 2017
The notes were sold in the United States to qualified institutional buyers in
reliance on Rule 144A of the US Securities Act of 1933, as amended (the
"Securities Act"), and outside the United States to non-US persons in reliance
on Regulation S under the Securities Act.
The notes listed above have not been, and will not be, registered under the
Securities Act, or under the securities legislation of any state of the United
States, and may not be offered or sold in the United States, other than pursuant
to an exemption from, or in a transaction not subject to, the registration
requirements of the Securities Act. The issuer of the notes does not presently
intend to make a public offer of securities in the United States or to register
any securities under the Securities Act.
