In compliance with rules 3.63 to 3.74 of the JSE Limited Listings
Requirements, the Company hereby discloses the conclusion of a forward sale
of Steinhoff shares with a commercial bank by Mr Bruno Steinhoff in his
capacity as a shareholder and director of B S Beteligungs-Und Verwaltungs
GMBH. The effective date of the forward sale is 30 April 2012. The shares
sold arose from cumulative scrip dividends in the form of capitalisation
shares awarded by Steinhoff over the past three years in lieu of cash
distributions. After this sale, Mr Steinhoff still owns and/or controls
Steinhoff shares representing 9.3% of its current issued share capital in
the aggregate.
