Impact of change in tax legislation on dividend paid to South African
shareholders
Anglo American notes that, since the announcement of a recommended final
dividend on 17 February 2012, the new Dividend Tax has been introduced in
South Africa and the JSE Listing Requirements were amended with effect from 1
April 2012 to require the disclosure of additional information in relation to
the dividend payment. The purpose of this announcement is to provide that
additional information.
Dividend Tax will be withheld from the amount of the gross final dividend of
R3.5998 per ordinary share paid to South African shareholders at the rate of
15% unless a shareholder qualifies for an exemption. After the Dividend Tax
has been withheld, the net dividend will be R3.0598300 per ordinary share.
Anglo American plc had a total of 1,327,527,156 ordinary shares in issue,
excluding treasury shares, at the dividend record date of 30 March 2012.
In South Africa the final dividend will, assuming approval by shareholders at
the Anglo American plc Annual General Meeting to be held on 19 April 2012, be
distributed by Anglo South Africa Capital (Pty) Limited, a South African
company with tax registration number 9273/364/845, in terms of the Company`s
dividend access share arrangements. No secondary tax on companies (STC)
credits will be used for the payment of the Final Dividend.
For the avoidance of doubt, Dividend Tax, and therefore the information
provided in this announcement, will only apply to shareholders on the South
African Branch Register.
