WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcements dated 30 November
2011, 9 December 2011, 16 January 2012 and 27 February 2012, as well as the SENS
announcement, dated 12 April 2012 regarding Genius Biotherapeutics who has been
granted permission by the South African Reserve Bank and National Treasury to
obtain a primary listing on a foreign stock exchange and are advised that the
relevant negotiations have been concluded. Accordingly, caution is no longer
required to be exercised by shareholders when dealing in the Company`s
securities.
