Following the revised firm intention announcement published on SENS on 12 March
2012, the offeror circular posted to shareholders on 19 March 2012 and the
circular to shareholders dated 19 April 2012 regarding the views of
ConvergeNet`s Independent Board in respect of the unconditional mandatory offer
to ConvergeNet minority shareholders as detailed in the offeror circular,
shareholders are advised that, two of the Company`s directors have indicated an
intention to accept the unconditional mandatory offer of 26 cents per ordinary
share and accordingly, in compliance with rules 3.63 - 3.74 of the JSE Listing
Requirements, the following intended dealings in the securities of the company
