NEW APPOINTMENT OF A DIRECTOR TO THE BOARD
Mr Price Group hereby announces the appointment of an additional Director to
the Board. Ms Daisy Naidoo has been appointed, with immediate effect, as an
independent non-executive Director. In addition, Ms Naidoo has been
nominated, as a member of the Audit and Compliance Committee, which is
subject to shareholder approval, at the upcoming Annual General Meeting in
August 2012. Her appointment comes as the Board seeks to strengthen the
Audit and Compliance Committee in light of the recent appointment of Mr
Nigel Payne as Chairman of the Board and his subsequent preclusion from
membership of the Audit and Compliance Committee.
Ms Naidoo, a chartered accountant with a B Com, Post Graduate Diploma in
Accounting and a Masters of Accounting degree, is a member of the South
African Institute of Chartered Accountants and the Institute of Directors of
Southern Africa.
Having worked for Sanlam Capital Markets for more than nine years, two years
of which she held the position of Head of the Debt Structuring Unit, Ms
Naidoo now serves as an independent non-executive director on the Boards of
Strate Limited, Hudaco Industries, Omnia Holdings and three Old Mutual
boutique boards. She also serves on the audit committee of the Council of
Higher Education and is an appointee to the Tax Court of South Africa.
