DEFERRED BONUS PLAN AND DEALINGS IN SECURITIES BY DIRECTORS OF MAJOR
SUBSIDIARIES OF THE COMPANY
In compliance with the JSE Limited Listings Requirements, the following
information is disclosed:
The directors of the Company and of major subsidiaries of the Company utilised
a portion of their after tax component of their annual bonus to acquire shares
in the Company in 2008 which were held in escrow in terms of the Deferred
Bonus Plan ("DBP") offer. In terms of the rules of the DBP, if the directors
remained in the employ of the Group and retained these shares for a three year

shares to the directors. The matching shares were adjusted for those who
exercised their rights in terms of the rules of the DBP, due to the impact of
the rights offer.
