1 Posting of the circular
Shareholders are hereby advised that the Company has today, 18 May 2012,
posted a circular to its shareholders, relating to the following:
- a change of name of the Company to Muvoni Technology Group Limited;
- the conversion of the Company`s par value shares into no par value
shares in accordance with the Companies Act 71 of 2008, as amended
("the Act");
- the adoption of the Company`s Memorandum of Incorporation ("MOI"); and
- the adoption of the Share Appreciation Right Scheme.
2 Change of name
The board of directors of Ideco proposes that the name of the company be
changed from Ideco Group Limited to Muvoni Technology Group Limited.
The Company`s short name will change from "Ideco" to "Muvoni", the share
code will change from "IDE" to "MTG" and the ISIN will change from
"ZAE000107579" to "ZAE000167268".
The circular, the new MOI and Share Appreciation Right Scheme are available
in English only and copies thereof may be obtained from the registered
office of Ideco, from 18 May 2012 to 20 June 2012. Alternatively, the
circular and the new MOI are also available in electronic form on Ideco`s
website at www.ideco.co.za.
3 Notice of general meeting
A general meeting of Ideco shareholders will be held at 11:00 on Wednesday,
20 June 2012, at 267 West Street, Centurion, Pretoria, for the purpose of
considering and, if deemed fit, passing, with or without modification, the
ordinary and special resolutions set out in the notice of general meeting
included in the circular.
