DISCLOSURE OF BENEFICIAL INTEREST IN SECURITIES
This announcement is made in terms of paragraph 3.83(b) of the JSE Limited
Listings Requirements ("JSE LR") and section 122(3)(b) of the Companies Act,
No. 71 of 2008, as amended ("the Act").
Shareholders are advised that pursuant to the offer for sale in terms of the
Transaction Capital Pre-listing statement dated 21 May 2012 ("Offer for
Sale"), the following shareholders disposed of Transaction Capital ordinary
shares. Such disposals, taken together with the dilutionary effects of the
issue of 50 000 000 new Transaction Capital shares, both of which were in
terms of the Offer, require notification in terms of the above-mentioned
provisions of the JSE LR and the Act. The names, total beneficial interests
held prior to the Offer and resultant respective beneficial interests of such
shareholders are set out in the table below.
