DEALING IN SECURITIES: GRANTING OF SHARE APPRECIATION RIGHTS
In compliance with paragraph 3.63 to 3.66 of the JSE Limited ("JSE") Listings
Requirements ("Listings Requirements"), the below-mentioned information is
disclosed on behalf of the directors and company secretary of JD Group, as
well as the directors of major subsidiaries of JD Group, namely JDG Trading
(Proprietary) Limited, JDG Micro Insurance Limited, JDG Micro Life Limited and
Unitrans Motor Enterprises (Pty) Ltd.
In respect of all the disclosures made below:
- the nature of the transaction is a grant of share appreciation rights and is
an off-market transaction;
- the issuer is JD Group;
- the class of security upon which the share appreciation rights are based,
is ordinary shares;
- before the share appreciation rights were granted, clearance was obtained;
- the share appreciation rights were granted with effect from 18 June 2012;
- the share appreciation rights will vest from 18 June 2015 subject to having
met certain predetermined performance conditions that were set by the JD
Group
Remuneration Committee on 15 June 2012;
- the vested share appreciation rights will expire after seven years, i.e. on
18 June 2019;
- the strike price is R42-98 per share appreciation right, which is equal to
the Volume Weighted Average Price of JD Group`s ordinary shares on the JSE
at 15 June 2012, the business day prior to the grant; and
- the extent of the interest is direct beneficial.
