WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT AND NEW CAUTIONARY ANNOUNCEMENT
Withdrawal of Cautionary Announcement
Shareholders are referred to the cautionary announcements dated 2 July 2009,
14 July 2009, 27 August 2009, 9 October 2009 and 23 November 2009 detailing,
initially, the acquisition by Aurora Empowerment Systems (Pty) Ltd ("Aurora")
of a 71.07% interest in Cenmag from Victor Farkas, Elaine Greenblatt and Blaf
Investments CC ("Blaf Investments") (together "the majority shareholders of
Cenmag"), the disposal by Cenmag of its entire business to Blaf Investments, a
mandatory offer to shareholders and the change of name of the company ("the
change in control and disposal agreement") and subsequently, the acquisition
by Aurora of the Redwood Timber Merchant Group of companies and the intention,
upon the change in control of Cenmag and the disposal becoming unconditional
and being duly implemented, to nominate Cenmag as the purchaser of the Redwood
Group of companies.
Shareholders are advised that the agreements in respect of the above
transactions have lapsed due to the effluxion of time and accordingly the
cautionary announcement in respect of those agreements is withdrawn.
New Cautionary Announcement
Shareholders are advised that the majority shareholders of Cenmag are
currently in negotiations with Aurora with regard to reinstating the change in
control and disposal agreement, which, once concluded and subject to the
approval of shareholders, will initially constitute Cenmag as a cash shell.
Shareholders are accordingly advised to exercise caution when dealing in the
company`s securities until a full announcement is made.
