CHANGE IN STATUS OF TRUSTCO GROUP HOLDINGS LIMITED ("THE COMPANY") FROM A
PRIMARY TO A SECONDARY LISTING ON THE NAMIBIAN STOCK EXCHANGE.
SHAREHOLDERS ARE ADVISED THAT THIS NOTICE IS ONLY APPLICABLE TO THOSE
TRUSTCO SHAREHOLDERS REGISTERED ON THE NAMIBIAN STOCK EXCHANGE.
Shareholders are aware that when the Company listed on the JSE Limited
("the JSE") in February 2009, it obtained a primary listing on the JSE and
maintained its primary listing on the Namibian Stock Exchange ("the NSX").
In a circular to shareholders dated 15 December 2011, shareholders were
notified that a Special General meeting ("General Meeting") was to be held
on 19 January 2012 to ratify the change in listing status to a primary
listing on the JSE and a secondary listing on the NSX. Shareholders duly
approved the change at the General Meeting.
The NSX will apply the change on 16 July 2012.
Shareholding in the Company will remain as it is, with the following
practical implications:
1. The Company`s share price will no longer be reflected separately as a
local share price on the NSX, but will reflect the share price on the
JSE.
2. In practice, shareholders will be able to buy or sell ("trade")
Trustco shares on the NSX or the JSE.
3. In order to trade on the JSE shareholders will be required to
dematerialize their shares.
