CHANGE TO COMPOSITION OF BOARD OF DIRECTORS AND APPOINTMENT OF
COMPANY SECRETARY
In compliance with paragraph 3.59(a) of the Listings Requirements of
the JSE Limited, shareholders are hereby advised of the appointment
of Mr Mike Kilbride (60) (BSc (Hons) Mining Engineering) and Mr
Mohamed Seedat (56) (Bachelor of Engineering (Electrical)) as
independent non-executive directors of Aveng with effect from 4 July
2012. Both Mr Kilbride and Mr Seedat have extensive experience in
the mining industry. Mr Kilbride comes with an extensive knowledge
of mining operations at executive and non-executive levels in
southern Africa and Australia, having served as an executive director
of both Kumba Resources and Exxaro. Mr Seedat has worked for three
mining companies during his 32 year career, being BHPBilliton, Anglo
American Coal and Lonmin Plc during which time he occupied a range of
operational, general management, executive and non-executive director
board roles. He recently acted as chief operating officer of Lonmin
Plc.
Following the appointment and with effect from 4 July 2012, the Board
of Aveng will be constituted as follows '

MA Hermanus+, RL Hogben+, K Kilbride+, JJA Mashaba, T Mokgosi-

The board furthermore wishes to advise that Ms Michele Nana has been
appointed as company secretary of Aveng Limited with effect from 1
August 2012 to replace the acting company secretary, iThemba
Governance and Statutory Solutions (Pty) Limited. Ms Nana has 20
years company secretarial experience gained in various senior roles
at Murray & Roberts and most recently at Cell C where she was the
Company Secretary.
