In compliance with paragraphs 3.63 to 3.74 of the Listings
Requirements of the JSE Limited ('JSE'), shareholders are
advised that H.L Halls Investments (Proprietary) Limited
('Halls'), through one of its subsidiaries, Lightstone
(Proprietary) Limited ('Lightstone') purchased 30 000 000
shares from an existing shareholder and director Dr Neal
Bruton, which dealing is disclosed below. In addition,
Messrs Anthony Miller and Pete Backwell, directors of RGT
SMART, through their indirect shareholding in Lightstone
and Halls respectively, also disclose their related
dealings in the Company below.

SECTION 122 NOTIFICATION
As a result of the sale and purchase referred to above, Dr
N Bruton decreased his shareholding in RGTS from 12.75% to
6.75% and Lightstone increased its shareholding in RGTS
from 60.09% to 66.09%. Dr N Bruton and Lightstone have
both notified the Company of their transactions using a TRP
121.1 form. In addition, the Company has filed a TRP 121.2
notification form with the Takeover Regulation Panel as
required in terms of the Act.
