POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING
1. POSTING OF CIRCULAR
Further to the announcement released on SENS on 19 September 2012, shareholders are hereby
advised that the circular containing full details of, inter alia, the disposals by The Don, through its
wholly-owned subsidiary, Granport, of four of its nine hotel properties, being the Sandton 3 and
Sandton 1 Properties, the Beach Road Property and the Sandton 4 Property, together with all the
buildings and improvements thereon, including fittings and fixtures, as applicable, for a total purchase
consideration of R90.4 million (“the Disposals”), as well as a notice to convene a general meeting of
The Don shareholders in order to consider and, if deemed fit to pass, with or without modification, the
resolutions necessary to approve and implement, inter alia, the Disposals, has been distributed
today, 25 September 2012.
2. NOTICE OF GENERAL MEETING
Notice is hereby given that the general meeting of shareholders of The Don will be held at 10:00 on
Wednesday, 24 October 2012 at the registered office of The Don, 65 Kyalami Boulevard, Kyalami
Business Park, Kyalami, 1684, to conduct the business stated in the notice of general meeting, which
is contained in the circular.
The board of directors of the Company has determined that, in terms of section 62(3)(a), as read with
section 59 of the Companies Act, 2008 (Act 71 of 2008), as amended, the record date for the
purposes of determining which shareholders of the Company are entitled to participate in and vote at
the general meeting is Friday, 19 October 2012. Accordingly, the last day to trade The Don shares in
order to be recorded in the Register to be entitled to vote will be Friday, 12 October 2012.
