FINAL DISTRIBUTION BY THE DECILLION REALISATION TRUST (THE "TRUST")
The ordinary shareholders of Decillion are referred to previous announcements by
Decillion relating, inter alia, to the winding down process of Decillion. In
terms of the "The Circular to Decillion Shareholders" dated 16 October 2007, the
Trust was established as a special purpose trust to assume responsibility for
all the outstanding liabilities and contingent liabilities of the Decillion
group. All of the remaining assets of the Decillion group, apart from the
surplus cash of R26,5 million that was available to the shareholders of
Decillion as an interim dividend, were transferred to the Trust.
The Trustee of the Trust, Ironwood Trustees (Proprietary) Limited (previously
JGM Trustees), has resolved to make a final cash distribution of R7.0 million (
4.3 cents per share) to the ordinary shareholders of Decillion registered as the
shareholders on the record date of 21 December 2007. The treasury shares held
by the Trust will not participate in the distribution. The cash distribution to
shareholders is the total cash amount remaining in the Trust after settlement of
all liabilities less an amount of R1.2 million that is retained to provide for
the remaining aspects of the winding down process and for known and incidental
expenses. A report from the Auditors, PKF Inc, as well as a detailed financial
report up to the date of distribution, are available for inspection at the
registered office of the Trust.
The distribution date will be 14 June 2010.
