audited results for the year ended 31 July 2009 and further cautionary
announcement
KEY FEATURES
Decillion was a financial services group which operated from Johannesburg, Cape
Town, London and Nyon (Switzerland) and New Zealand. The group`s activities were
focused on financial markets and risk management. All operating divisions were
disposed of or closed down or transferred to the Decillion Realisation Trust
("DRT"). There is no further relationship between the DRT and Decillion.
The shares of Decillion are currently suspended from trading on the JSE Limited
("JSE"), which suspension will be lifted following the finalisation of this
audited 2009 annual results and the interim results for the period ended 31
January 2010, and the publication thereof.
During 2007, Numsa Investment Company ("NIC") advanced R7,75 million to
Decillion on the basis of irrevocable undertakings received from the Decillion
shareholders in terms of which Decillion would have acquired certain NIC
investments in exchange for the issue of shares in Decillion.
Following a decision by the Board of NIC not to continue with its reverse
listing transaction, Stone Edge Finance (Pty) Limited, a corporate finance
entity, since facilitated an alternative transaction with a property development
group that intends to reverse list properties with an approximate value of R2
billion into Decillion.
The reverse listing will be completed during the second half of 2010 subject to
shareholders` and regulatory approval, and a new circular will be distributed to
the Decillion shareholders in due course containing full details of the
investments that will be acquired by Decillion.
GOING CONCERN
We draw attention to the fact that at 31 July 2009, the company had accumulated
losses of R196 million and that the company`s total liabilities exceed its
assets by R7,9 million. The NIC loan of R7,75 million has been subordinated in
favour of all creditors until such time as the alternative transaction is
concluded. The company has obtained a letter of support from the property
development group to cover the current shortfall of net assets at balance sheet
date as well as additional expenses incurred subsequent to the balance sheet
date.
BASIS OF PREPARATION
This condensed audited financial information for the year ended 31 July 2009 and
unaudited interim results for the six months ended 31 January 2010 have been
prepared in accordance with IAS 34 - Interim Financial Reporting, South African
Companies Act and in compliance with the Listings Requirements of the JSE
Limited. The condensed financial information for the year ended 31 July 2009
does not include all of the information required by International Financial
Reporting Standards ("IFRS") for full annual financial statements and should be
read in conjunction with the annual financial statements for the year ended 31
July 2009, which have been prepared in accordance with IFRS.
The principle accounting policies used in preparing the audited results for the
year ended 31 July 2009 and the unaudited interim result for the six months
ended 31 January 2010 are consistent with those applied in the annual financial
statements for the period ended 31 July 2008 and the interim results for the six
months ended 31 January 2009 respectively in terms of IFRS, as described in
those financial statements.
AUDITED RESULTS
The unqualified audited opinion of Decillion`s auditors, PricewaterhouseCoopers
Inc., Chartered Accountants (SA), on the results for the year ended 31 July 2009
is available for inspection at Decillion`s registered office. The company
changed its year-end from February to July during the previous reporting period.
The comparative reporting period therefore covers a period of 17 months.

Notes:
Following the conclusion of a transaction with a property development group, the
NIC loan will be converted at the option of the property development group into
equity upon the reverse listing of its assets into Decillion, subject to
shareholders` approval.

FURTHER CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcement released on SENS on
Tuesday, 25 May 2010 and in the press on Wednesday, 26 May 2010, where they were
advised that Decillion has entered into negotiations with a property development
company who are owners of a diversified property portfolio, for a possible
reverse listing of the development company and the properties into Decillion,
which, if successfully concluded, may have a material effect on the price of the
Company`s securities. Shareholders are advised that negotiations are still in
progress and therefore they are advised to continue exercising caution when
dealing in the Company`s securities until a further announcement is made.
CHANGES TO THE BOARD OF DIRECTORS AND COMPANY SECRETARY
In terms of paragraph 3.59 of the JSE Listings Requirements, shareholders are
advised that the following directors have resigned retrospectively with effect
from 31 May 2010:
