RESTRUCTURE OF THE BOARD OF DIRECTORS, NEW DIRECTOR APPOINTMENTS AND CHANGE IN
COMPANY SECRETARY
In compliance with section 3.59 of the Listings Requirements of the JSE Limited,
the board is pleased to announce the following:
New directors:
The following two new directors have been appointed with effect from 4 November
2011:
Independent non-executive directors
Mr MG Mahlare
Mr KR Molewa
Mr MG Mahlare has been appointed as Chairman of the audit committee, subject to
shareholder approval.
Mr KR Molewa has been appointed as Chairman of the remuneration committee.
Brief profiles of the new appointees are outlined below.
Modilati Gustav Mahlare (56) Independent Non-Executive Director
After initial training with Price Waterhouse Gustav joined National Sorghum
Breweries in July 1992 as a financial controller and internal auditor and was
later promoted to the position of financial manager.
He was again employed by Pricewaterhouse Coopers from July 1995 to April 2007 as
a senior manager. He joined SEMA Integrated Risk Solutions (SEMA IRS) in May
2007 as a director where he specialises in Internal Audit, Risk Management and
Corporate Governance Services.
He became a director of Sephaku Holdings Ltd in January 2009 and has been
Chairman of the Audit Committee since date of appointment and has been a member
of the Audit Committee at Safika Resources since June 2011.
Kgaogelo Richard Molewa (57) Independent Non-Executive Director
Richard started his career at Anglo American Life focussing on employee benefits
from where he moved to Southern Life. In 1998 he started his own business
Upright Communications providing training services in the field of
communications.
He holds a BA Communications Science degree from Unisa and is a competent Toast
Master. He is married to the Honourable Minister Edna Molewa.
Board restructure and changes in roles:
The board furthermore advises that the following changes in roles and
responsibilities of directors have been made with immediate effect.
Mr BJ Havenga has been appointed as Chairman and will serve in a non-executive
capacity. A lead independent director will be nominated in due course.
Mr MM Smith has been appointed as Chief Executive Officer.
Mr ME Smit has been appointed as Financial Director.
Change in company secretary and registered address:
The Company Secretary has been changed from Mr ME Smit to The Makings (Pty) Ltd
and the registered address of the Company has changed to 196 Raymond Avenue
Waterkloof Ridge, Pretoria, 0181 and PO Box 95079, Waterkloof, 0145.
