FURTHER ANNOUNCEMENT REGARDING THE INNSTAFF ACQUISITIONS
On 01 November 2012, shareholders were advised that Kelly Group
had concluded an agreement with the current minority shareholder
who is also the Chief Executive Officer (CEO) of Innstaff
Proprietary Limited and Inn-Staff (Swaziland) (Proprietary)
Limited, hereafter referred to as the Innstaff Companies, in terms
of which the remaining 30% of the issued share capital of the
Innstaff Companies was to be acquired by the Group (“the
Acquisition”).
Shareholders are advised that the JSE Limited has approved the
opinion by the independent professional expert, BDO Corporate
Finance Proprietary Limited. The opinion confirms that the
Acquisition is fair and has been made available for inspection at
the registered office of Kelly Group. Accordingly, all suspensive
conditions to the Acquisition have now been fulfilled.
