UPDATE IN RESPECT OF SALIENT DATES
Shareholders are referred to the announcements released on SENS on 11 September 2012 and 14 September 2012, respectively,
and the Circular issued on 11 September 2012, in each of which the salient dates and times in respect of each of the Proposed
Acquisition, the Repurchase Offer, the Odd-lot Offer and the Change of Name, as detailed in the Circular, are set out.
Capitalised terms contained in this announcement are as defined in the Circular.
Shareholders are advised that:
- the Proposed Acquisition remains conditional upon:
- the Company being satisfied with the results of the Due Diligence which it is conducting into the affairs of Sable;
- an exemption from the obligation of the Vendors to make a Mandatory Offer being granted by the Takeover
Regulation Panel;
- the Repurchase Offer remains conditional upon:
- the Proposed Acquisition becoming unconditional and capable of implementation; and
- the issue of the Allocated Shares;
- the Odd-lot Offer remains conditional upon the registration of the MOI Amendment Resolution with the Companies and
Intellectual Property Commission (“CIPC”); and
- the Change of Name of the Company to Sable Platinum Limited remains subject to the registration of the special
Resolution in respect of the Change of Name with the CIPC.
Accordingly, revised salient dates and times in respect of each of the Proposed Acquisition, the Repurchase Offer, the Odd-lot
Offer and the Change of Name will be announced on SENS as soon as possible after the respective conditions detailed above have
been fulfilled.
