PROPOSED ACQUISITION BY THE BIDVEST GROUP LIMITED (“BIDVEST”) OF BRANDCORP HOLDINGS
(PTY) LTD (“HOLDINGS”).
Brandcorp Noteholders are advised that, the shareholders of Brandcorp Holdings (the holding company of the
Issuer) have entered into an agreement with The Bidvest Group Limited (“Bidvest”) in terms of which Bidvest
will, subject to the fulfilment of certain conditions precedent by 30 June 2013, acquire the entire issued share
capital of Brandcorp Holdings, for an undisclosed amount.
The current management team will remain in place.
A further announcement regarding the fulfilment of the conditions precedent will be made as and when
appropriate.
