DISCLOSURE OF BENEFICIAL INTERESTS IN SECURITIES IN MTN GROUP LIMITED
MTN Group has on 7 December 2012 received a notification of disclosure of acquisition of a
beneficial interest from The Capital Group Companies, Inc., advising that it has acquired a
beneficial interest in securities of MTN Group, such that the total of all beneficial interests
held by The Capital Group Companies, Inc. has now reached a threshold of 5.0219% of the
issued ordinary capital of MTN Group. This disclosure is in terms of section 122 of the
Companies Act 71 of 2008, as amended and Regulation 121 of the Companies Regulations,
2011. The notification of the disclosure was filed with the Takeover Regulation Panel on 11
December 2012.
The Capital Group Companies, Inc. is a USA based holding company for several subsidiary
companies engaged in investment management activities. The shares reported in this
disclosure are owned by accounts under the discretionary investment management of one
