FURTHER VOLUNTARY ANNOUNCEMENT REGARDING THE PROPOSED
ACQUISITION BY BIDVEST OF BRANDCORP HOLDINGS (PROPRIETARY) LIMITED
Shareholders are referred to the voluntary announcement dated December 3 2012 in which
shareholders were advised that subject to the fulfilment of certain conditions precedent it has entered
into an agreement in terms of which Bidvest will acquire the entire issued share capital of Brandcorp
Holdings (Proprietary) Limited (“Brandcorp”) for an undisclosed amount (“the Brandcorp Acquisition”).
Brandcorp is currently controlled by Ethos Private Equity.
Due to certain conditions precedent not having been met, shareholders are informed that the parties
have mutually agreed not to proceed with the transaction.
