(PTY) LTD (“HOLDINGS”) TERMINATED
Brandcorp Noteholders are referred to the voluntary announcement released on 7 December 2012 in which
Noteholders were advised that the shareholders of Brandcorp Holdings (the holding company of the Issuer)
have entered into an agreement with The Bidvest Group Limited (“Bidvest”) in terms of which Bidvest will,
subject to the fulfilment of certain conditions precedent by 30 June 2013, acquire the entire issued share capital
of Brandcorp Holdings, for an undisclosed amount.
Due to certain conditions precedent not having been met, Noteholders are informed that the parties have
mutually agreed not to proceed with the transaction.
