NOTICE IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT, NO.71 OF 2008
(“THE ACT”)
Shareholders are advised that the board of directors of
Nampak Limited adopted a resolution on 26 March 2013
in terms of section 45 of the Act which grants general
authority for the Company to provide guarantees as security
for loan facilities made available to its subsidiary companies
from time to time, provided that the aggregate borrowed by the
Company’s subsidiary companies under all the loan facilities at
any one time does not exceed a limit determined by the board.
Shareholders are advised that the total value may exceed 1/10th of 1%
of the Company’s net worth at the time of the resolution.
