ANNOUNCEMENT REGARDING THE ACQUISITION OF THE TRADING ASSETS AND LIABILITIES OF
THREE-D AGENCIES PROPRIETARY LIMITED AND SHAMROCK PLASTICS PROPRIETARY LIMITED
(COLLECTIVELY “THREE-D”)
Hudaco has acquired the trading assets and liabilities of Three-D. The final total consideration will
depend on the average profits over the three year earn-out period, with an initial payment of
R21.5m. The maximum consideration is limited to R28.5m.
Three-D is a distributor of specialised cable accessories that are sourced from leading overseas and
local suppliers. Its product range complements that of Powermite, an established operation within
Hudaco that distributes electrical cables, sockets and industrial plugs.
The transaction falls below the threshold of a category 2 transaction and accordingly, this
announcement is purely for information purposes.
