DISCLOSURE OF BENEFICIAL INTERESTS IN SECURITIES IN MTN GROUP LIMITED
MTN Group has on 10 May 2013 received a notification of acquisition of a beneficial interest
from The Capital Group Companies, Inc. (“CGC”), advising that accounts under the
discretionary investment management of one or more of the investment management
companies within its group of companies have acquired a beneficial interest in securities of
MTN Group, such that the total of all beneficial interests held by these accounts is now
5.001% of the issued ordinary capital of MTN Group. This disclosure is in terms of
paragraph 3.83(b) of the JSE Limited Listings Requirements and section 122(3)(b) of the
Companies Act 71 of 2008, as amended and Regulation 121 of the Companies Regulations,
2011. The notification of the disclosure was filed with the Takeover Regulation Panel on 13
May 2013.
CGC is a USA based holding company for several subsidiary companies engaged in
investment management activities. Neither CGC nor any of its subsidiaries own shares of
MTN Group for their own account.
