ACQUISITION OF REMAINING INTEREST IN BDFM
1. ACQUISITION AGREEMENT - UNCONDITIONAL
1.1. Shareholders are referred to the announcement released on SENS on
Monday, 15 April 2013 regarding the acquisition by Avusa Publishing
Proprietary Limited (“Avusa Publishing”), a subsidiary of TMG, of the
50% shareholding held by Pearson Overseas Holdings Limited
(“Pearson”) in BDFM Publishers (Pty) Limited (“BDFM”) (“the
Acquisition”), the successful implementation of which would result in
Avusa Publishing becoming the sole shareholder of BDFM (“the
Acquisition Announcement”).
1.2. Further to the Acquisition Announcement, shareholders are advised
that the agreement entered into between Avusa Publishing, Pearson and
BDFM in respect of the Acquisition, has become unconditional in
accordance with its terms.
2. EFFECTIVE DATE
The effective date of the Acquisition is Tuesday, 25 June 2013.
