RESULTS OF THE GENERAL MEETING AND CHANGES TO THE BOARD OF
DIRECTORS AND AUDIT AND RISK COMMITTEE OF THE COMPANY
Shareholders are referred to the general meeting held today, 28
August 2013 and are hereby advised that all of the resolutions,
with the exception of ordinary resolution numbers 1 and 3, which
were withdrawn, were approved by the requisite majority of
shareholders.
Accordingly, in terms of paragraph 3.59 of the Listings
Requirements of the JSE Limited, shareholders are hereby advised
of the following changes to the board, which changes will be with
immediate effect:
Removals:
1. Mr. M P Mocke has been removed as an executive director of
the Company; and
2. Mrs. J M K Matlala has been removed as an executive director
of the Company.
Appointments:
1. Mr. J T Kleinhans has been appointed as an non-executive
director of the Company;
2. Mr. C A Hall has been appointed as an non-executive director
of the Company; and
3. Mr. C H Rickens has been appointed as an non-executive
director of the Company.
In addition to the aforementioned appointments, shareholders are
also advised that the board has appointed Mr. J D Newton as an
independent, non-executive director and as chairperson of the
audit and risk committee of the Company with immediate effect.
