ANNOUNCEMENT: PRIVATE PLACEMENT OF CLASS B SHARES AND RESULTS OF SPECIAL
RESOLUTION PASSED BY CLASS A SHAREHOLDERS OF SVF
The Company refers to previous announcements regarding the offer to invited investors in South Africa to
subscribe for Class B shares by way of private placement (“Initial Offer”), including the pre-listing statement
issued on 19 November 2013 (“PLS”) and announcements regarding the listing of 140,000 Class B shares
on the Bermuda Stock Exchange (“BSX”) and the delay in the listing of the Class B shares on the JSE’s
Alternative Exchange (“AltX”). The directors confirm that, although the Initial Offer was successfully
subscribed, the JSE requires a greater spread of shareholders than what was obtained, before it will consent
to the issue of the Class B shares and the listing of such shares on AltX. The Initial Offer as formulated in
the PLS will, accordingly, not proceed. Subject to obtaining the required approvals from the JSE and BSX,
the Company intends to proceed with a revised offer to invited investors to subscribe for Class B shares in
early 2014 and will make further announcements in accordance with the requirements of the BSX and JSE in
this regard.
Shareholders are referred to the notice (“Notice”) to shareholders issued by the Company on 6 December
2013 and are advised that the special resolution required to amend Annexure B to the Bye-Laws of the
Company has been passed by the requisite majority of Class A shareholders.
