The Company was notified on 14 April 2014 by the trustee of the British American Tobacco
International Employee Share Ownership Plan (the “Plan”) (the “Trustee”) that on 1 April
2014 an award of ordinary shares of 25p each in British American Tobacco p.l.c. made
under the 2011 International Share Reward Scheme (“ISRS”) had vested and, in accordance
with the rules of the Plan, the Trustee had transferred accrued dividend shares to the person
discharging managerial responsibility as follows:
