PROPOSED TRANSACTION RELATING TO TFG AND STANDARD BANK’S INTEREST IN
RCS
RCS wishes to refer its noteholders to a SENS announcement released
by the Foschini Group Limited (“TFG”) on 10 April 2014 relating to
TFG and the Standard Bank of South Africa (“Standard Bank”) disposing
of their respective stakes in RCS to BNP Paribas Personal Finance
S.A. (“BNPPF”), a subsidiary of BNP Paribas S.A., resulting in RCS
becoming a wholly owned subsidiary of BNPPF. The effective date of
the proposed transaction is expected to be on or about 31 July 2014.
