UNCONDITIONAL
Shareholders are referred to the announcement released on the Stock Exchange News
Service on Tuesday, 26 November 2013 regarding the agreement entered into with Cavalry
Holdings Limited and its shareholders, under the terms of which Vodacom will acquire an
additional indirect 17.2% interest in Vodacom Tanzania Limited (the "Transaction") and are
advised that as all the conditions precedent to the Transaction have been fulfilled, the
Transaction is now unconditional and closing is expected to take place today, 29 April 2014.
The Transaction results in Vodacom increasing its total economic interest in Vodacom
Tanzania Limited from 65% to 82.2%.
