Changes to the Board of Directors
In compliance with paragraph 3.59 (b) of the JSE Limited Listings Requirements,
DigiCore hereby advises shareholders that Mr. Deon du Rand (“Deon”) and Mr. Mark Dean
Rousseau (“Mark”) have stepped down as members of the board with effect from 22 May
2014 in order to apply the recommendations set out in King Code of Governance
Principles (“King III”).
King III recommends, inter alia, that the majority of the board should comprise of
non-executive directors of which the majority should comprise of independent
directors.
Deon and Mark, who served as members of the Board for a number of years, will continue
in their roles as CTO and COO respectively and as valuable members of the DigiCore
executive management team.
The board wishes to thank Deon and Mark for their valued contribution as board
members.
