FULFILMENT OF THE OUTSTANDING CONDITIONS PRECEDENT REGARDING THE
ACQUISITION BY ASCENDIS OF PHARMA NATURA PROPRIETARY LIMITED ("PHARMA
NATURA")
Ascendis shareholders are referred to the SENS announcement dated 27 February 2014, advising of
Ascendis entering into an agreement with the shareholders of Pharma Natura to acquire 100% of the
issued ordinary share capital of Pharma Natura ("the Acquisition"), subject to the fulfilment of certain
conditions precedent, including receipt of approval from the South African Competition Commission
("Competition Authorities").
The Company's board of directors is pleased to announce that with effect from 30 May 2014 all of the
conditions precedent to the Acquisition (which includes the required approval by the Competition
Authorities) have been fulfilled or waived and the Acquisition is accordingly unconditional.
