NOTIFICATION OF TRANSACTIONS BY DIRECTORS, PERSONS DISCHARGING
MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Notification made in accordance with Disclosure Rule 3.1.4R(1)(a) of the Disclosure Rules
and Transparency Rules.
On 5 August 2014, the Company approved the following transactions in respect of Mr
Giovanni Giordano, a person discharging managerial responsibilities:
a) The partial waiver of Mr Giordano’s 2012 Long-Term Incentive Plan award in respect
of 18,236 British American Tobacco p.l.c. ordinary shares (the “Shares”) (the
“Waiver”), resulting in a balance of 28,054 Shares remaining under that award.
b) In consideration of the Waiver, on 5 August 2014 Mr Giordano received 5,438 Shares
based on an award price of 2,805 pence per Share and a cash payment of
£166,117.90 (together, the “Aggregate Award”). The cash payment has been withheld
to satisfy the tax liability on the Aggregate Award.
Following the above transactions, Mr Giordano has a total beneficial and family interest in
30,168 Shares (including 21,392 Deferred Shares).
